Grant management for CSR in India: utilisation certificates and reporting

A CSR grant in India carries obligations that most grant management software was never designed for. The company has to show where every rupee went in its annual filing. The implementing partner has to prove each tranche was used before the next one is released. In between sit utilisation certificates, which in most programmes we see still travel as scanned PDFs attached to emails.

This deep dive is for CSR teams and the nonprofits that implement for them. It lists the rules a grant system has to carry and then walks through one tranche-to-certificate workflow, with the fields at each step. For the wider choice of tools and costs, start with our grant management software buyer’s guide.

The CSR rules your grant system has to carry

Each rule below becomes a field, a tag or a gate in the system. If it only lives in someone’s head or inbox, it will surface in March as a reconciliation exercise.

  • Implementing partner registration. Since 1 April 2021, entities undertaking CSR activities on a company’s behalf must be registered through Form CSR-1 under the Companies (CSR Policy) Amendment Rules, 2021. Store each partner’s CSR registration number on their record, and block agreement creation if it is missing.
  • Schedule VII. Tag every project with the Schedule VII activity it falls under at the point of approval, so annual reporting doesn’t become a classification exercise at year end.
  • Form CSR-2. Every company covered by Section 135 files an annual CSR report in Form CSR-2, as an addendum to AOC-4, from FY 2020–21 onwards. The grant system should produce project-wise spend that matches what goes into it.
  • Impact assessment. Companies with an average CSR obligation of ₹10 crore or more over the three preceding years must commission independent impact assessments for projects of ₹1 crore or more, completed at least a year earlier. Flag which projects cross the line as soon as they are approved.
  • Unspent amounts and ongoing projects. Spend and the project calendar must sit together, or unspent amounts surface too late to act on.
  • Utilisation certificates. Treat each certificate as a step in the tranche workflow, not an email attachment.
  • FCRA. If the implementing partner also receives foreign contributions, those funds must stay separate from domestic CSR money, with their own fund tagging and reporting trail.

Rules change. Confirm current requirements with your company secretary or auditor before you design fields around them.

One company, four partners, three formats." A CSR team funding four implementing partners will usually receive four differently formatted certificates. Agree one certificate template at agreement stage and attach it to the grant record. It saves more time than any software feature.

Worked example: one tranche, from release to certificate

Here is the workflow we configure for a typical two-tranche CSR project: a company funds a school-readiness programme through one implementing partner, with tranche 2 released only after tranche 1 is certified as used. The amounts are illustrative.

Step Who What happens in the system Gate
1. Agreement signed CSR team Grant record created: partner (with CSR-1 number), Schedule VII tag, budget lines, tranche schedule (₹30 lakh + ₹20 lakh), certificate template attached Cannot save without CSR-1 number and Schedule VII tag
2. Tranche 1 released CSR finance Payment logged against the grant ID; partner notified Approval by named finance lead
3. Spend recorded Partner finance Expenses tagged to the same grant ID and budget line in the partner's accounts Untagged expenses shown as exceptions
4. Certificate drafted Partner Draft certificate generated from tagged actuals by budget line, not typed in Variance over the agreed threshold needs a written note
5. Certificate signed Partner's authorised signatory / auditor Signed copy uploaded to the grant record Signatory must match the role named in the agreement
6. Review CSR programme lead Certificate checked against narrative report and milestone evidence Reported and verified results kept separate
7. Tranche 2 opened CSR finance Tranche 2 moves from "blocked" to "ready for approval" Only after step 6 is approved
8. Year-end roll-up CSR team Project-wise spend, Schedule VII tag and partner registration feed the CSR-2 working file Unspent amount flagged per project

The two design choices that matter most are steps 3 and 4. When the partner’s expenses carry the same grant ID as the company’s grant record, the certificate becomes a report, not a document someone writes. Our grant-to-accounting integration field guide covers how to keep that ID consistent across systems.

The fields a utilisation certificate record needs

Whatever format your funder prescribes, store the certificate as a record with these fields, and render the funder’s format from them:

  • Grant ID, tranche number, period covered
  • Amount received, amount used, amount unspent, interest earned (if the agreement requires it)
  • Spend by budget line, with variance against the approved budget revision
  • Narrative summary of activities, linked to the milestone report
  • Signatory name and role, date signed, uploaded signed copy
  • Reviewer, review date, decision, notes

If you run Zoho, our grant workflow on Zoho One shows a matching utilisation report layout built from Books tags.

For implementing partners: what to ask your CSR funders

If you sit on the receiving side, you will be producing several certificates a year for several companies. Ask each funder at agreement stage for its certificate template, its reporting calendar and the signatory it expects. Enter them on the grant record on day one. Partners who do this find March quieter.

Certificates and partner records carry personal data about staff and sometimes beneficiaries. Keep consent and retention fields in the design from the start; our DPDP Rules 2025 compliance checklist lists what to check.

If your CSR team also runs open calls for new partners, the portal those partners use matters as much as the back office. See what funders should include in a grantee portal.

Bring us one grant

Bring one CSR grant, ideally the one whose last certificate took longest. In a free 30-minute walkthrough we’ll trace it from agreement to certificate, show where the gates should sit, and tell you plainly whether you need new software or a better template.

Start with one part of the work that feels harder than it should.

Bring one tracker, form or workflow. We’ll help you find a practical first step, whether that means a clearer process, a connected system or better use of what you already have.
